Terms of Service
These Terms of Service (“Terms”) govern your use of SmileyTix (the “Platform”), including buying tickets, selling tickets as an event organizer, and using our resale, transfer and check-in features. By creating an account, buying a ticket or otherwise using the Platform you agree to these Terms. If you do not agree, do not use the Platform.
1. Who we are
SmileyTix is an online ticketing marketplace. Events are created and run by independent organizers (“Organizers”). Unless an event page says otherwise, SmileyTix is not the organizer of the event and acts as a limited agent of the Organizer to sell tickets and collect payment.
2. Eligibility and accounts
You must be at least 18 years old, or the age of majority in your state, to create an account or buy tickets. You are responsible for keeping your login credentials secure and for all activity under your account. We may suspend or close accounts that violate these Terms.
3. Buying tickets
- Prices are shown in US dollars unless stated otherwise and may include service fees, applicable sales tax and optional add-ons, all displayed before you pay.
- An order is confirmed only when payment succeeds and you receive a confirmation. Tickets may be held for a limited time during checkout and are released if payment is not completed.
- We may limit the number of tickets per person, household, payment card or IP address, and cancel orders that exceed limits or that we reasonably believe are fraudulent or placed with automated tools (“bots”).
- Tickets are a revocable license to attend the event. The Organizer and venue may refuse entry or remove you for violating venue rules, safety policies or applicable law, without refund.
4. Tickets, transfers and resale
Each ticket has a unique QR code that is valid for one entry. Do not share it publicly. Where the Organizer allows it, you may transfer tickets or list them on our fan-resale marketplace; a new code is issued and the old one is voided. Tickets bought from unauthorized third parties may be invalid. Resale must comply with applicable state law and any price caps set by the Organizer.
5. Cancellations, changes and refunds
Refunds are governed by our Refund Policy and the Organizer’s event-specific policy shown on the event page. Event details (date, time, lineup, venue) are controlled by the Organizer and may change.
6. Organizers
Organizers are responsible for their events, including accurate listings, permits, safety, accessibility, taxes, honoring tickets and handling refunds as required by law. Organizers authorize us to collect payments on their behalf and pay out their balance, less our fees, chargebacks and refunds, as described in the Organizer agreement and plan pricing.
7. Acceptable use
You agree not to: use bots or scripts to buy tickets; circumvent purchase limits, queues or security features; resell tickets in violation of law (including the federal BOTS Act); scrape the Platform; upload unlawful or infringing content; or interfere with the Platform’s operation.
8. Fees and payments
Payments are processed by third-party payment providers. We do not store full card numbers. Service fees are non-refundable except where required by law or stated in the Refund Policy.
9. Intellectual property
The Platform, its design and software are owned by SmileyTix or its licensors. Organizers grant us a license to display their event content to promote and sell tickets.
10. Disclaimers
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE ARE NOT RESPONSIBLE FOR THE CONDUCT OF ORGANIZERS, VENUES OR OTHER USERS.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SmileyTix WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO AN ORDER IS LIMITED TO THE AMOUNT YOU PAID FOR THAT ORDER.
12. Indemnification
You agree to indemnify and hold SmileyTix harmless from claims arising from your violation of these Terms or applicable law, or, for Organizers, from your events.
13. Disputes; governing law
These Terms are governed by the laws of the State of [STATE], without regard to conflict-of-law rules. Before filing a claim, you agree to contact us at support@smileytix.local to try to resolve the dispute informally for 30 days. [Optional: insert arbitration agreement and class-action waiver reviewed by counsel.]
14. Changes
We may update these Terms. The “Last updated” date above shows when they last changed. Continued use after changes means you accept the updated Terms.
